Welcome to AuroXOrigin Networks Private Limited (traded as AXO Networks, we will use AXO Networks as a short form for AuroXOrigin Networks in our operations and customer-facing communications.
AXO Networks operates a technology platform that enables manufacturers, original equipment manufacturers (OEMs), suppliers, service providers, and financial partners to coordinate requests for quotations (RFQs), quotations, purchase orders (POs), order tracking, communication, documentation, and related operational workflows.
By accessing or using the Platform https://www.axonetworks.com/ and its application - AXO Networks, you agree to be bound by these Terms of Service (“Terms”). Do not use the platform if you don’t agree to these Terms.
You represent and warrant that you are at least 18 years of age and are an authorized representative of a legally recognized business entity with the authority to bind such entity to these Terms. The Platform is intended solely for business-to-business use.
AXO Networks is a technology service provider and workflow facilitator. AXO Networks is not a party to any commercial, manufacturing, logistics, or financing contract between users.
AXO Networks does not act as an agent, broker, guarantor, or fiduciary for any user.
All transactions, including RFQs, quotations, POs, manufacturing, delivery, acceptance, and payments, are entered into solely between the transacting parties.
AXO Networks does not verify the technical suitability, quality, safety, legality, or performance of any goods or services and does not guarantee payment, delivery timelines, financing approvals, or performance by any party.
The Platform may allow financial institutions, banks, NBFCs, or other financial partners (“Financial Partners”) to view certain transaction-related data (such as accepted POs, order status, and supplier performance metrics) for the limited purpose of assessing eligibility for financing or credit facilities.
AXO Networks does not provide financial advice, lending, underwriting, guarantees, escrow, or payment services unless expressly stated in writing.
Any financing, credit, or payment arrangement is solely between the user and the relevant Financial Partner, subject to separate agreements.
AXO Networks does not control, influence, or guarantee financing decisions, terms, interest rates, disbursements, or recoveries, and shall not be liable for any losses arising from financing arrangements.
You agree to provide accurate, complete, and current information and to use the Platform only for lawful business purposes.
You shall not misuse the Platform, interfere with its operation, attempt to access unauthorized areas, scrape data, reverse engineer the Platform, or bypass Platform workflows.
You agree not to solicit, transact, or attempt to circumvent AXO Networks’ workflow controls in a manner intended to avoid platform recording of RFQs, quotations, supplier acceptance, or PO issuance.
You are responsible for safeguarding your account credentials and for all activity conducted under your account.
Users agree not to solicit, transact, or bypass AXO Networks' workflow to finalize orders initiated on the Platform.
Any PO resulting from an RFQ on AXO must be recorded on the Platform.
Suppliers are granted a temporary, non-exclusive, non-transferable license to use designs solely for quoting and manufacturing.
Suppliers must delete all design files from their local systems within 30 days of PO completion or if the bid is not awarded.
AXO Networks is a facilitator of milestone tracking.
While we implement verification tools (e.g., GPS-tagged photos), the final responsibility for verifying the quality and existence of goods lies with the OEM before releasing payment.
The Platform is designed to facilitate structured workflows including RFQs, quotations, supplier acceptance, PO issuance, order tracking, communication, and documentation.
AXO Networks may log actions, timestamps, and acceptance events for audit, compliance, and operational integrity.
Users acknowledge that platform records may be used for internal dispute facilitation but do not replace legally binding contracts between transacting parties.
AXO Networks may provide tools to record payment status, invoices, or financing milestones.
AXO Networks is not responsible for collecting payments, enforcing payment obligations, resolving commercial disputes, or guaranteeing payment by any party unless explicitly agreed in writing.
Any disputes regarding pricing, payment, quality, delivery, or performance must be resolved directly between the parties involved.
As between the User and AXO Networks, the User (OEM/Supplier) retains 100% ownership of all proprietary designs, 2D/3D CAD drawings, technical specifications, and trade secrets ("User IP") uploaded to the Platform.
AXO Networks does not claim any ownership rights over User IP.
By uploading User IP, you grant AXO Networks a limited, non-exclusive, royalty-free, and worldwide license to host, store, and transmit such content solely for the purpose of enabling Platform workflows (e.g., displaying a drawing to a selected Supplier for quoting).
All software, code, algorithms, interface designs (including but not limited to AXO Networks’ "Smart Cards" and "Capacity Gauges"), and the "AXO Networks" brand are the exclusive property of AuroXOrigin Networks Private Limited.
Any attempt to scrape, reverse-engineer, or replicate AXO Networks’ proprietary workflow logic is strictly prohibited.
Users agree to treat all non-public information accessed through the Platform, including RFQs, quotations, designs, pricing, operational data, and communications, as confidential.
You shall not disclose such information to third parties except as required for legitimate business purposes or as required by law.
To the maximum extent permitted by law, AXO Networks shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, loss of data, or reputational harm.
AXO Networks’ aggregate liability, if any, shall be limited to the total fees paid to AXO Networks by the user in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless AXO Networks, its directors, officers, employees, and partners from any claims, losses, liabilities, damages, and expenses arising from your use of the Platform, violation of these Terms, or disputes with other users or Financial Partners.
AXO Networks may suspend or terminate access to the Platform at its discretion if you violate these Terms, misuse the Platform, provide false information, or engage in unlawful conduct.
These Terms shall be governed by the laws of India.
The courts of Bengaluru shall have exclusive jurisdiction.
AXO Networks may update these Terms from time to time.
Continued use of the Platform constitutes acceptance of the updated Terms.
